ANGUS INTELLIGENCE, LLC – TERMS OF SERVICE

1. Introduction

Angus Intelligence, LLC ("Angus," "we," "us," or "our") provides an advanced artificial-intelligence system designed to augment modern legal practice through case management, drafting support, structured reasoning frameworks, evidence extraction, research integrations, and token-based usage analytics. These Terms of Service ("Terms") govern your use of the Angus platform, website, software, mobile interfaces, API endpoints, custom models, and physical hardware deployments (collectively, the "Services").

By use of the Services or your acceptance of these Terms on behalf of an organization, you represent you are authorized to bind that entity. The Services are not intended for use by minors and are only available to individuals and entities with legal capacity to enter into binding contracts.

2. Nature of the Services

Angus provides reasoning-based AI tools that analyze text, extract evidence, generate drafts, and assist in strategic legal evaluation. While powerful, these tools may produce content that is incomplete, inaccurate, irrelevant, outdated, or not suitable for your needs. You must review and verify all output prior to use in any legal context.

Outputs are generated probabilistically and may differ each time the same prompt is submitted. Angus is an AI workflow tool, not a substitute for professional judgment.

3. No Legal Advice; No Attorney-Client Relationship

Angus Intelligence, LLC is not a law firm and does not offer legal advice.

Your use of the Services does not create an attorney-client relationship between you and Angus or between you and any assistant within the platform. You remain solely responsible for all legal decisions, filings, strategies, deadlines, and communications.

The Services do not perform legal research unless you provide access to licensed third-party databases, and Angus does not verify the applicability, accuracy, or completeness of any authority cited by AI-generated output.

4. User Responsibilities

You agree to:

  • Review all AI-generated output for accuracy, relevance, and completeness
  • Maintain independent professional judgment at all times
  • Comply with all applicable ethical rules, laws, and court orders
  • Ensure you have the right to upload all documents, evidence, and data to the platform
  • Use the Services only for lawful purposes consistent with professional standards
  • Safeguard your API keys, login credentials, and any third-party integrations
  • Notify Angus promptly of any security concerns or unauthorized access

You acknowledge that you, not Angus, are responsible for the consequences of relying on AI-generated outputs, including any errors, omissions, or deficiencies.

5. Prohibited Conduct

You may not:

  • Reverse-engineer, decompile, or tamper with the Services
  • Attempt to extract proprietary models, prompts, or logic
  • Use the platform to generate harmful, illegal, defamatory, or fraudulent content
  • Misuse the system to exceed rate limits, circumvent authentication, or disrupt availability
  • Resell, sublicense, or redistribute the Services without written permission
  • Impersonate others or misrepresent your identity or authority
  • Violate any applicable laws, professional rules, or third-party terms of use

Angus reserves the right to suspend or terminate access if prohibited conduct is detected or reasonably suspected.

6. Account Security and Access

You are responsible for maintaining the confidentiality of your credentials. If you operate Angus on your own hardware (e.g., Angus Station), you are responsible for local network security, access controls, and physical hardware safeguards.

Angus is not liable for unauthorized access resulting from compromised credentials, weak passwords, or insecure local deployment practices.

7. Data Ownership and Use

7.1 Your Ownership

You retain full ownership of all case files, prompts, drafts, evidence, timelines, and outputs generated through the Services. Angus does not claim any intellectual property rights over your materials.

7.2 Angus's Limited License

By uploading data, you grant Angus a limited, non-exclusive license to process your information solely to provide the Services. This includes running models, generating outputs, and maintaining system functionality.

7.3 Model Training Restrictions

Angus does not use your uploaded data to train general-purpose foundation models or to improve other users' experiences without explicit written consent. However, we may use anonymized, aggregated metadata for internal system diagnostics, security monitoring, and feature analytics.

7.4 Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, store, and protect your information.

7.5 Employer, Firm, and Third-Party Access

The Services are licensed to individual users unless expressly governed by a separate written enterprise agreement with Angus Intelligence.

Angus does not grant employers, firms, clients, or other third parties access to user accounts or user content, and does not adjudicate ownership, work-product, or employment-related disputes between users and third parties.

Access to user content will be provided to third parties only with the user's express authorization or pursuant to a valid legal process.

8. Subscriptions and Billing

8.1 Payment

Access to the Services may require a paid subscription. Fees are billed according to your selected tier (e.g., Basic, Professional, Enterprise) and are subject to change with notice.

8.2 Recurring Charges

Subscriptions renew automatically unless canceled. Token-based usage may incur additional charges. You are responsible for maintaining accurate billing information.

8.3 Refunds

Fees are generally non-refundable except where required by law or at Angus's sole discretion. Enterprise customers may have custom refund terms in their agreements.

8.4 Suspension for Non-Payment

Angus may suspend access if payment fails or an account becomes delinquent. You remain liable for all fees incurred prior to suspension.

9. Third-Party Services and Integrations

Angus may integrate with Westlaw, LexisNexis, OpenAI, Anthropic, or other third-party providers. Your use of those services is governed by their respective terms and privacy policies. Angus is not responsible for the availability, accuracy, or security of third-party platforms.

You are responsible for obtaining and maintaining valid licenses or API keys for any external research tools you use within the platform.

10. Disclaimers of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

Angus does not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • Outputs will be complete, accurate, or suitable for your needs
  • Any defects or errors will be corrected
  • Third-party integrations will remain available or compatible

You use the Services at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, Angus Intelligence, LLC, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Services, even if Angus has been advised of the possibility of such damages.

In no event shall Angus's total liability exceed the amount you paid to Angus in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Angus Intelligence, LLC, its affiliates, and their respective officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Content you upload or generate through the Services
  • Disputes between you and third parties (including clients or opposing counsel)

13. Modifications to the Services or Terms

Angus reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice. We may also update these Terms as needed to reflect changes in our practices or legal requirements.

Continued use of the Services after changes to these Terms constitutes acceptance of the revised Terms. Material changes will be communicated via email or platform notice.

14. Termination

14.1 By You

You may cancel your subscription or delete your account at any time. Upon termination, you remain responsible for all fees incurred prior to cancellation.

14.2 By Angus

Angus may suspend or terminate your access immediately if you violate these Terms, engage in prohibited conduct, or fail to pay fees. Termination does not waive any accrued obligations or liabilities.

14.3 Effect of Termination; Data Retention and Deletion

Upon termination or expiration of a subscription, your right to access the Services will cease at the end of the then-current paid billing period.

Following expiration of the paid period, Angus Intelligence will retain your account content for a period of thirty (30) days solely to allow data export or account recovery.

At the conclusion of the 30-day period, all user account content will be permanently deleted from Angus's active systems and is not recoverable.

Angus does not maintain archives of deleted user content. You are solely responsible for exporting or preserving any content prior to deletion.

Notwithstanding the foregoing, Angus may retain limited non-content records as required for billing, tax, fraud prevention, security monitoring, or legal compliance. Such records do not include user-generated workspace content, uploaded files, or case materials.

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

15.2 Arbitration

Any dispute arising out of or related to these Terms or the Services shall be resolved through binding arbitration in Austin, Texas, in accordance with the rules of the American Arbitration Association. You waive the right to participate in class actions or class arbitrations.

15.3 Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property or prevent unauthorized use of the Services.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any executed enterprise agreements, constitute the entire agreement between you and Angus.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

16.4 Assignment

You may not assign these Terms without Angus's prior written consent. Angus may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure

Angus is not liable for delays or failures in performance due to causes beyond its reasonable control, including acts of God, natural disasters, government actions, or network outages.
